«Golden Shares», Extension of the Market Freedoms and their effect on the Constitution of Companies under the Member States´ Company Laws
According to the European Court of Justice (ECJ) Golden Shares may infringe EC law, namely the freedoms of capital movement and establishment. This case law is apt to influence the process of harmonisation of the Member States' company law regimes. It is thus also of particular significance for the discussion whether the market freedoms can have a direct effect, especially with respect to the adoption of a Takeover Directive and the drafting of private law based company constitutions.
